Please read these Terms and Conditions (“Terms”) carefully before using the GeeBoard application and services (“GeeBoard”, “we”, “us”, or “our”). By accessing or using GeeBoard in any manner, you (“User”, “you”, or “your”) agree to be bound by these Terms.

These Terms form a legally binding agreement between you (whether an individual, company, or other entity) and Doftwerks West Africa Limited, the owner of GeeBoard.

If you do not accept these Terms, please do not use GeeBoard.

GeeBoard is a digital accounting platform designed to help individuals, businesses, and organizations manage financial records, generate reports, and streamline bookkeeping. These Terms govern your access and use of all features and services provided through the GeeBoard web and mobile applications.

To use GeeBoard, you must be at least 18 years of age or the age of legal majority in your jurisdiction. By using GeeBoard, you confirm that you meet this requirement.

You are responsible for maintaining the confidentiality of your login details and for all activities that occur under your account. You agree to provide accurate and complete information during account registration and to update it as necessary. (GeeBoard may request documentation to verify the legal status of your business, such as CAC registration or TIN)

We reserve the right to suspend or terminate your account if we reasonably believe that you have provided false information or are using the service in violation of these Terms or applicable laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use GeeBoard for your internal business or personal financial management only. This license does not allow you to:

  • • Copy, distribute, or modify the software;
  • • Decompile, reverse engineer, or attempt to discover source code;
  • • Use the platform to violate any laws, regulations, or third-party rights.

All rights not expressly granted in these Terms are reserved by us.

You agree not to use GeeBoard:

  • • For fraudulent or illegal activities;
  • • To transmit viruses or malicious code; • To violate intellectual property rights;
  • • To harvest or collect data without authorization;
  • • To overload, interfere with, or disrupt the performance of the system or servers.

Violation of these provisions may result in immediate suspension or termination of your account.

GeeBoard offers a suite of accounting and financial tools, including real-time invoicing, expense tracking, VAT computation, bank reconciliation, and financial report generation in compliance with Nigerian regulations and international standards. Access to specific features depends on your subscription level and user role. The platform also provides tools for accountants to manage multiple client accounts.

Some features of GeeBoard may be offered under a paid subscription. If applicable, you agree to pay all fees as stated at the time of subscription. Fees are non-refundable unless otherwise stated.

We reserve the right to change pricing or subscription models, provided we give you reasonable prior notice via email or in-app alerts.

You retain all rights to the data you input or upload into GeeBoard (“Your Data”). By using GeeBoard, you grant us a limited right to store, process, and display Your Data solely for the purpose of providing the service.

We will process personal data in accordance with our Privacy Policy, and in compliance with the Nigeria Data Protection Act, 2023 (NDPA).

You agree that we may store Your Data in secure cloud servers, including those located outside Nigeria, using NDPA-approved safeguards and protections.

You retain all rights to the data you input or upload into GeeBoard (“Your Data”). By using GeeBoard, you grant us a limited right to store, process, and display Your Data solely for the purpose of providing the service.

All content, software, logos, designs, trademarks, and other intellectual property associated with GeeBoard are owned or licensed by us and protected by law.

You agree not to use or reproduce any of our intellectual property without our express written permission, except as permitted under these Terms.

The Service is provided “as is” and “as available.” GeeBoard makes no guarantees about uptime, performance, accuracy, or security. We disclaim all warranties, whether express or implied, including warranties of merchantability and fitness for a particular purpose.

GeeBoard is provided “as is” and “as available.” While we aim for reliability, we do not guarantee uninterrupted service, error-free functionality, or absolute accuracy.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, revenue, or profits, arising out of your use or inability to use GeeBoard.

You agree to indemnify and hold GeeBoard, its affiliates, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising out of your violation of these Terms or misuse of the platform.

We may suspend or terminate your access to GeeBoard at any time, with or without notice, if:

  • • You breach these Terms;
  • • Your use poses a security or legal risk;
  • • We are required to do so by law.

You may also terminate your account at any time. Upon termination, your right to access and use GeeBoard will cease immediately.

These Terms shall be governed by the laws of the Federal Republic of Nigeria, particularly the Nigeria Data Protection Act 2023 and other relevant data and commercial regulations.

Any disputes shall be resolved first through informal negotiation. If unresolved, disputes may be referred to mediation or arbitration, or the courts of Lagos, Nigeria.

GeeBoard is not responsible for delays or failure to perform caused by events outside our control—such as natural disasters, war, government actions, internet failures, or cyberattacks. These events will suspend our obligations for as long as they persist.

We may update these Terms from time to time. Changes will be communicated via email or in-app notice. Continued use of GeeBoard after such changes means you accept the revised Terms.
